1. Acceptance and parties
These Terms & Conditions (“Terms”) form a binding legal agreement between you (“you,” “your,” or “Subscriber”) and Conversionate LLC, a Wyoming limited liability company (“Conversionate,” “we,” “our,” or “us”). By accessing or using conversionate.com, gmaps.conversionate.com, any successor or related domain, or any of the products, services, content, features, software, websites, mobile applications, APIs, newsletters, or other materials we make available (collectively, the “Service”), you represent that you have read, understood, and agree to be bound by these Terms and by every policy referenced in them, including our Privacy Policy, our Acceptable Use Policy, and our Subscription Agreement (collectively, the “Policies”).
If you do not agree to these Terms or any of the Policies, you must not access or use the Service. By using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity, and “you” will refer to both you personally and that entity.
You and Conversionate are individually a “Party” and collectively the “Parties.”

2. Eligibility
You represent and warrant that: (a) you are at least 18 years of age and have full legal capacity to enter into binding contracts under the laws of your jurisdiction; (b) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. embargoes or sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Kherson regions); (c) you are not identified on any U.S. government list of restricted parties (including the U.S. Treasury Department’s Specially Designated Nationals list, the U.S. Commerce Department’s Entity or Denied Persons lists, or any equivalent list maintained by a U.S. or foreign government); (d) you have not previously had your account, subscription, or access to the Service suspended or terminated by us for cause; and (e) your access to and use of the Service does not violate any law, regulation, or order applicable to you.
3. Description of the Service
Conversionate offers a portfolio of products, currently including:
- Google Maps Fixer (also marketed as “Maps Fixer” or under similar names): a one-time-fee service that analyzes a publicly accessible Google Business Profile, generates a set of proposed changes, and, after your express approval and after you connect a Google account that owns or manages the relevant business profile, applies those approved changes on your behalf.
- Subscription Products: one or more subscription offerings (currently the “Conversionate Pro” plan at $297 per month) that provide access to our platform and related features as described on the applicable order form or pricing page and as further described in our Subscription Agreement. We may add additional plans, tiers, or pricing options in the future.
- Beta, preview, and experimental features: features that we make available for evaluation. Beta features are provided without any service-level commitment, may change or be removed at any time without notice, and may be made generally available, withdrawn, or repriced in our sole discretion.
We reserve the right to add, modify, suspend, or discontinue any product, feature, plan, or pricing at any time, with or without notice and without liability to you, except as required by mandatory law or as expressly set out in the Subscription Agreement.
4. License grant; restrictions
Subject to your continued compliance with these Terms and the Policies, and subject to the payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business purposes for the term of your subscription or, in the case of one-time products, for the duration of the engagement.
You will not, and will not permit any third party to: (a) copy, modify, translate, adapt, create derivative works of, or reverse-engineer any part of the Service; (b) remove, obscure, or alter any proprietary notice; (c) rent, lease, lend, sell, resell, sublicense, time-share, white-label, or otherwise commercialize the Service in any way not expressly permitted by us in writing; (d) use the Service to build, train, or improve any competing product or any machine-learning, generative-AI, or similar system; (e) use any robot, spider, crawler, scraper, or other automated means to access, query, or extract data from the Service except as expressly permitted by us in writing; (f) interfere with or disrupt the integrity, security, or performance of the Service or the data contained therein; (g) attempt to gain unauthorized access to the Service or its related systems; or (h) use the Service in violation of our Acceptable Use Policy or any applicable law.
All rights not expressly granted to you in these Terms are reserved by Conversionate and its licensors.
5. Your account and credentials
You are solely responsible for: (a) maintaining the confidentiality and security of your login credentials, OAuth authorizations, API keys, and any other access credentials associated with your use of the Service; (b) all activity that occurs under your account, whether or not authorized by you; and (c) promptly notifying us of any actual or suspected unauthorized use of your account.
You will not share your account with any third party and will not allow any person other than your authorized personnel to access the Service through your account.
6. Google services and third-party platforms
Not affiliated with Google. Conversionate is not affiliated with, endorsed by, sponsored by, or otherwise related to Google LLC, Alphabet Inc., or any of their affiliates. References to Google products, including Google Maps, Google Business Profile, and Google Account, are made solely for the purpose of describing interoperability and do not imply any affiliation or endorsement.
OAuth-granted data. When you connect a Google account to the Service, you authorize Conversionate to access and act on certain data and functionality of your Google Business Profile solely to provide the Service as described. Our handling of data obtained via Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. We do not use such data to serve advertisements, do not allow humans to read it except (i) with your explicit consent, (ii) where necessary for security investigations to comply with applicable law, or (iii) where the data has been aggregated and anonymized so that it cannot be used to identify any individual. You may revoke our access at any time through your Google Account permissions page.
Third-party services. The Service relies on third-party services including, without limitation, Stripe (payments), Google APIs, DataForSEO, OpenAI, Anthropic, Upstash, Neon, Vercel, and email-delivery providers (collectively, “Third-Party Services”). Your access to and use of Third-Party Services is governed by those providers’ own terms and policies. Conversionate is not responsible for the availability, accuracy, completeness, security, or content of any Third-Party Service, nor for any act, omission, error, outage, breach, change, or discontinuation by any Third-Party Service provider, and we disclaim all liability arising out of or related to your use of any Third-Party Service.
7. AI-generated output
Portions of the Service generate, suggest, or apply content using large-language models, machine-learning systems, and related artificial-intelligence technologies, including models operated by third parties (collectively, “AI Output”). AI Output is provided for your evaluation only, may be inaccurate, incomplete, biased, offensive, misleading, or inappropriate, and must be independently reviewed by you before being relied upon, published, transmitted, or applied to any system or property. You are solely responsible for reviewing and approving every change to your Google Business Profile (or any other system) before it is applied, and for determining whether any AI Output is fit for your purpose.
Imagery supplied as part of a website, showcase, or other deliverable may be created, enhanced, or modified using AI Output, including images generated from or derived from photographs of your premises, products, or work. Because you alone are able to verify how your business, premises, staff, and completed work actually appear, you are solely responsible for reviewing all imagery before it is published and for confirming that it accurately represents your business. You must notify us of any image that does not accurately represent your business, and we will replace or remove it. Your approval of a site for publication, or your continued use of a published site, constitutes your representation that the imagery it contains accurately represents your business. You are responsible for ensuring that all content published on your behalf, including imagery, complies with the advertising, consumer-protection, and unfair-commercial-practices laws applicable to you.
You may not (a) attempt to extract, recreate, or reverse-engineer any model, prompt, system prompt, or training data underlying the Service; (b) use the Service to generate content that violates the policies of any underlying AI provider; or (c) use the AI features for any decision that has a legal or similarly significant effect on any person without independent human review.
8. No guarantee of results
We make no representation, warranty, covenant, or guarantee regarding any specific business outcome, including without limitation: (a) any specific ranking, position, visibility, impressions, clicks, leads, calls, conversions, sales, revenue, return on investment, or other metric on Google, Google Maps, Google Business Profile, any search engine, any advertising platform, or any other channel; (b) the accuracy, completeness, currency, or fitness for any purpose of any insight, recommendation, AI Output, or proposed change generated by the Service; or (c) the continued availability, functionality, or terms of any Third-Party Service on which the Service depends. Past performance does not predict future results.
9. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. We may investigate any suspected violation of the Acceptable Use Policy and may suspend or terminate your access to the Service for any actual or suspected violation, in our sole discretion, with or without notice.
10. Fees, taxes, and refunds
Pricing for each product is set out on the applicable order form, checkout page, or pricing page. Subscription Products renew automatically as described in the Subscription Agreement. One-time products, including Google Maps Fixer, are charged once per business profile and are not refundable except as expressly provided below or as required by mandatory law.
Refund window for Google Maps Fixer. If the Google Maps Fixer service materially fails to operate as described, you may request a full refund of the one-time fee by emailing support@conversionate.com within thirty (30) days of payment, identifying the purchase and the defect. Refunds are granted at our reasonable discretion and are your sole and exclusive remedy for any defect in the one-time service.
Taxes. Fees are exclusive of all taxes, duties, levies, and similar government charges, all of which are your responsibility, except for taxes imposed on our net income. If we are required by law to collect any such taxes, we may add the applicable amount to your invoice.
Payment processing. Payments are processed by our third-party payment processors (currently Stripe). By providing payment credentials, you authorize us and our processor to charge the applicable fees, taxes, and any other amounts owed.
11. Intellectual property
As between you and Conversionate, Conversionate and its licensors own and retain all right, title, and interest in and to the Service, including all software, code, models, prompts, designs, text, graphics, logos, trademarks, service marks, trade dress, trade names, domain names, know-how, and all intellectual-property rights of any kind in or related to the Service (collectively, “Conversionate IP”). Except for the limited license granted in Section 4, no rights in any Conversionate IP are granted to you.
You may submit feedback, suggestions, ideas, recommendations, or other communications (“Feedback”). You hereby grant Conversionate a perpetual, irrevocable, worldwide, royalty-free, sublicensable, fully paid-up license to use, reproduce, modify, prepare derivative works of, distribute, and otherwise exploit any Feedback for any purpose, without attribution, compensation, or further obligation to you.
The trademarks “Conversionate,” “Maps Fixer,” and any related logos are owned by Conversionate LLC. You may not use them without our prior written consent.
12. Customer content and customer data
As between you and Conversionate, you retain all right, title, and interest in and to any content, data, files, business information, or other materials you submit to or through the Service or that we access on your behalf (“Customer Content”). You grant Conversionate a worldwide, royalty-free, non-exclusive, sublicensable license to host, copy, transmit, display, process, and otherwise use Customer Content solely to (a) provide, secure, and improve the Service; (b) prevent or address service, security, fraud, or technical issues; (c) comply with applicable law and lawful government requests; and (d) carry out the purposes described in our Privacy Policy.
You represent and warrant that you have all rights, consents, and authority necessary to grant the license above and that your Customer Content does not infringe, misappropriate, or violate any third party’s intellectual-property, privacy, publicity, or other right.
13. Privacy
Our collection, use, and disclosure of personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
14. Confidentiality
Each Party may disclose to the other non-public information about its business or technology that is reasonably understood to be confidential (“Confidential Information”). The receiving Party will (a) use Confidential Information only to exercise its rights and perform its obligations under these Terms; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information of like kind, but in no event less than reasonable care; and (c) limit access to those of its personnel, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those of these Terms.
Confidential Information does not include information that: (i) is or becomes generally available to the public without breach of these Terms; (ii) was rightfully in the receiver’s possession prior to disclosure without obligation of confidentiality; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of or reference to the discloser’s Confidential Information.
15. DISCLAIMERS — read carefully
THE SERVICE, ALL CONTENT, ALL AI OUTPUT, AND ALL OTHER ITEMS MADE AVAILABLE BY CONVERSIONATE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND CONVERSIONATE AND ITS LICENSORS, SUPPLIERS, AND THIRD-PARTY SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR ANY WARRANTY ARISING OUT OF ANY COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE.
CONVERSIONATE DOES NOT WARRANT THAT (a) THE SERVICE WILL MEET YOUR REQUIREMENTS; (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERROR; (c) ANY ERRORS WILL BE CORRECTED; (d) THE SERVICE OR ANY THIRD-PARTY SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (e) ANY RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR LEGAL; OR (f) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
CONVERSIONATE MAKES NO GUARANTEE OR PROMISE REGARDING SPECIFIC BUSINESS OUTCOMES, SALES, REVENUE, RANKINGS, TRAFFIC, LEADS, CONVERSIONS, RETURN ON INVESTMENT, OR ANY OTHER PERFORMANCE METRIC RELATED TO THE SERVICE.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the disclaimers above apply to the maximum extent permitted by law.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CONVERSIONATE, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR ENHANCED DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL CONVERSIONATE’S CUMULATIVE AND AGGREGATE LIABILITY UNDER OR RELATED TO THESE TERMS, THE SERVICE, AND ALL POLICIES, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EXCEED THE GREATER OF (a) TWO HUNDRED U.S. DOLLARS ($200) OR (b) THE TOTAL FEES YOU ACTUALLY PAID TO CONVERSIONATE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE FIRST CLAIM. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT EXPAND THIS LIMIT.
The disclaimers and limitations above are a fundamental element of the basis of the bargain between you and Conversionate, allocate the risks of these Terms, and apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
17. Indemnification
You will defend, indemnify, and hold harmless Conversionate, its affiliates, and each of their respective owners, officers, directors, employees, contractors, agents, suppliers, and licensors (the “Indemnitees”) from and against any and all third-party claims, suits, demands, actions, investigations, losses, damages, liabilities, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and disbursements) (collectively, “Losses”) arising out of or related to: (a) your use of or access to the Service; (b) your breach of these Terms or any Policy; (c) your violation of any law, regulation, or rule applicable to you, including without limitation Google’s policies for Google Business Profile and the policies of any other Third-Party Service; (d) your infringement, misappropriation, or violation of any third-party intellectual-property, privacy, publicity, or other right; (e) any Customer Content you submit or that we access on your behalf; (f) any act or omission by anyone using your account or credentials; or (g) any claim by an end-customer or other third party arising out of services you provide using the Service.
We may, at our option, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You will not settle any matter that imposes any obligation, liability, or admission of fault on any Indemnitee without our prior written consent.
18. Suspension and termination
We may, in our sole discretion and at any time, with or without notice and with or without cause, suspend, restrict, or terminate your access to the Service in whole or in part, including without limitation if: (a) you breach these Terms or any Policy; (b) we reasonably believe your use poses a security, legal, or operational risk to us, our other users, or any third party; (c) you fail to pay any fee when due; (d) we are required to do so by law, regulation, or order; (e) your account has been inactive for twelve (12) consecutive months; or (f) we discontinue the Service or any portion of it.
On termination of these Terms for any reason: (i) your right to access the Service immediately ends; (ii) all amounts owed to us become immediately due; and (iii) Sections 4 (last paragraph), 6, 7, 8, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, 23, 24, 25, 26, 27, and 28 will survive termination.
We may delete your account, your Customer Content, and any associated data after termination, subject to any retention obligations described in our Privacy Policy or required by applicable law.
19. Governing law and venue
These Terms, the Policies, and any non-contractual obligations arising out of or related to them are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to the informal dispute-resolution requirement in Section 20 and the class-action waiver in Section 22, any action, suit, or proceeding arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Natrona County, State of Wyoming, USA. You and Conversionate irrevocably consent to personal jurisdiction and venue in those courts and waive any objection of inconvenient forum.
20. Mandatory informal dispute resolution
Before filing any lawsuit, action, or formal proceeding against the other Party arising out of or related to these Terms or the Service, the complaining Party must (a) send a written notice describing the dispute, the relief sought, and the claimant’s contact details to the other Party (notices to Conversionate must be sent to hello@conversionate.com with subject line “Dispute Notice”), and (b) engage in good-faith negotiations to resolve the dispute for at least sixty (60) days after the notice is received. The 60-day period tolls any applicable statute of limitations. A Party that fails to comply with this Section may not commence any action and the other Party may petition a court to enforce this Section, including by injunctive relief and recovery of attorneys’ fees.
21. One-year limitation period
To the maximum extent permitted by applicable law, any claim or cause of action you have against Conversionate arising out of or related to these Terms, any Policy, or the Service must be commenced within one (1) year after the claim or cause of action arose; otherwise, the claim is permanently barred. This period does not apply where prohibited by applicable law.
22. Class-action and jury-trial waivers
YOU AND CONVERSIONATE EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY-GENERAL PROCEEDING. CLASS, COLLECTIVE, AND REPRESENTATIVE ACTIONS ARE EXPRESSLY WAIVED.
YOU AND CONVERSIONATE EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS, THE POLICIES, OR THE SERVICE.
If a court finds the class-action waiver above to be unenforceable in any particular matter, the unenforceable portion will be severed and the remainder of these Terms will remain in full force and effect; however, the entire dispute will then proceed only in court (not arbitration) and the jury-trial waiver will continue to apply.
23. Force majeure
Neither Party will be liable for any failure or delay in performance of these Terms (other than payment obligations) caused by an event beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, epidemics, fire, flood, war, terrorism, civil disturbances, labor shortages or disputes, internet outages, utility failures, communication failures, denial-of-service attacks, governmental action, or the failure, change, or discontinuation of any Third-Party Service.
24. Export, sanctions, and anti-corruption compliance
You represent, warrant, and covenant that you will comply with all U.S. and other applicable export-control, import-control, customs, and economic-sanctions laws and regulations, including those administered by the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) and the U.S. Commerce Department’s Bureau of Industry and Security (BIS), and that you will not, directly or indirectly, export, re-export, transfer, release, or otherwise make the Service available to any sanctioned country, region, person, or entity.
You also represent, warrant, and covenant that you and your personnel will comply with all applicable anti-bribery and anti-corruption laws, including without limitation the U.S. Foreign Corrupt Practices Act of 1977 and the U.K. Bribery Act 2010, in connection with your use of the Service.
25. Notices
We may give you notices electronically, including by email to the address associated with your account or by posting on or through the Service, and such notices will be effective when sent or posted. You will give notices to us by email to hello@conversionate.com unless a different address is specified elsewhere in these Terms for a particular purpose (such as the dispute notice requirement in Section 20). You consent to receiving notices electronically and agree that electronic notices satisfy any legal requirement that such notices be in writing.
26. Marketing communications, email, and text messages (SMS)
Your consent. When you give us your email address or phone number through the Service (for example, by filling in a form to get your results), you agree that Conversionate and the providers acting on our behalf may contact you at that email address and phone number with both service messages (such as your results, account updates, and replies to your requests) and marketing messages (such as offers, tips, and news about our products). We may send these messages by email, by text message (SMS or MMS), and, where you have given the consent the law requires, by automated or prerecorded phone calls and by voicemail. You confirm that the contact details you give are yours, or that you are authorized to provide them, and you agree to keep them accurate and to tell us if they change.
Consent is not a condition of purchase. You do not have to agree to receive marketing texts or calls in order to buy anything from us. You can still buy our products and get the service messages you need without agreeing to marketing messages.
Frequency, rates, and delivery. The number of messages you receive will vary. Message and data rates may apply under the plan you have with your mobile carrier. Carriers are not liable for delayed or undelivered messages, and we cannot guarantee that every message will be delivered.
How to stop. You can stop marketing text messages at any time by replying STOP to any text from us, and you can reply HELP to any text for help. You can stop marketing emails by using the unsubscribe link in the email or by emailing hello@conversionate.com. Opting out of marketing messages does not stop the service messages needed to deliver a product you have asked for or bought.
Where the law requires opt-in. In the European Economic Area, the United Kingdom, and anywhere else whose laws require it, we send marketing messages only after you have given your prior, specific consent, and we treat each channel (email, text message, and phone calls) as a separate choice. You can withdraw your consent for any channel at any time, and withdrawing it is as easy as giving it. Withdrawing consent does not affect messages we are required or allowed to send you without it, such as messages about a product you have bought.
United States. Our text-message and calling program is run in line with applicable U.S. law, including the Telephone Consumer Protection Act and the CAN-SPAM Act. Where we rely on your express written consent to send automated marketing texts or calls, that consent covers the number you provide until you opt out.
27. Modifications
We may modify these Terms, the Policies, the Service, or any pricing or feature at any time. If we make a material change, we will update the “Last updated” date at the top of the affected document and, where required by law, provide additional notice. Continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms or Policies. If you do not accept a modification, your sole remedy is to stop using the Service. We will not retroactively apply material changes to disputes that arose before the change took effect.
28. General provisions
Entire agreement. These Terms, together with the Policies and any order form, statement of work, or written agreement signed by both Parties, constitute the entire agreement between you and Conversionate with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements. If there is a conflict between these Terms and the Subscription Agreement with respect to a Subscription Product, the Subscription Agreement controls for that product.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
Waiver. No failure or delay by either Party in exercising any right under these Terms will operate as a waiver of that right, and no single or partial exercise of any right will preclude any other or further exercise of that right or any other right.
Assignment. You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment in violation of this provision is void. We may assign, transfer, or sublicense any of our rights or obligations under these Terms without restriction, including to any successor by merger, acquisition, reorganization, or sale of substantially all of our assets.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, or franchisor-franchisee relationship between the Parties. Neither Party has authority to bind the other.
Third-party beneficiaries. Except for the Indemnitees identified in Section 17, there are no third-party beneficiaries to these Terms.
Headings. Section headings are for convenience only and do not affect interpretation.
Language. The English version of these Terms controls. Any translation is provided for convenience only and has no legal effect.
Electronic signatures. The Parties agree that a printed version of these Terms and of any notice given in electronic form is admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents originally generated and maintained in printed form.
